Platform Terms of Use – ilarna Personal Assistants
Platform ‘Terms of Use’
These ‘Terms of Use’ (the Terms) govern your access to and use of the ilarna platform (the Platform) by you as a self-employed personal assistant (PA, you, your). Please ensure you read these Terms carefully before using the Platform.
By registering for, accessing or using the Platform, you confirm that:

You have read and understood these Terms; and
-
You agree to be legally bound by them.
If you do not agree to these Terms, you must not use the Platform.
1. About ilarna:
1.1) The Platform is operated by ilarna Limited (Company number 13675123) whose registered office is 167–169 Great Portland Street, London, W1W 5PF.
1.2) ilarna provides a human centered technology platform that facilitates and enables the introduction of self-employed personal assistants to individuals, families, commissioners or organisations seeking home-based support services (Clients).
1.3) ilarna does not employ PAs and does not provide care or support services. All services are provided by PAs in their own capacity as independent self-employed sole traders.
1.4) ilarna does not commission care, allocate work, supervise service delivery, or manage ongoing care arrangements. All decisions relating to the engagement, scope and delivery of services are made directly between the PA and the Client.
2. Your status:
2.1) You confirm and warrant that:

You operate as an independent self-employed sole trader;
-
You are not an employee, worker, agent or partner of ilarna;

You are responsible for your own tax, National Insurance, VAT (if applicable) and other statutory obligations; and
-
Nothing in these Terms creates an employment, worker, agency or joint venture relationship.
2.2) You have no authority to bind ilarna or to represent yourself as an employee or agent of ilarna.
3. Eligibility and Registration:
3.1) To use the Platform, you must:
-
Be at least 18 years old;
-
Have the legal right to work in the UK (or another applicable jurisdiction);

Hold all qualifications, training, experience and checks required to deliver the services you offer; and
-
Provide accurate, complete and up-to-date information during registration.
3.2) ilarna may require you to complete identity checks, background checks (including DBS checks where applicable), training modules in relation to the use of platform, or to provide documentation as a condition of access to the Platform.
3.3) ilarna reserves the right to suspend or terminate your access to the Platform where information provided is false, misleading or incomplete.
3.4) ilarna may decline an application to join the Platform at its discretion, including where eligibility or compliance requirements are not met.
3.5) Where an Enhanced DBS certificate discloses any conviction, caution, reprimand or warning, ilarna may, where permitted by law and with appropriate safeguards, share such information as is reasonably necessary with potential Clients to support informed decision-making.
3.6) ilarna may suspend, restrict, or terminate a PA’s access to the Platform where it reasonably considers this necessary to protect the operation of the Platform, to address misuse of the Platform, to comply with legal or regulatory obligations, or to mitigate risk to users or third parties. Any such action relates solely to access to and use of the Platform and does not constitute supervision, instruction, or control over the services provided by the PA to Clients.
4. Use of the Platform
4.1) The ilarna Platform enables you to:

View and respond to service opportunities;

Communicate directly with Clients;
-
Manage availability and agreed Client engagements;

Receive payments via the Platform; and
-
Access platform guidance, platform policies and operational tools relating to your self-employment and use of the Platform.
4.2) ilarna does not guarantee any minimum level of work, income or opportunities.
4.3) You are free to accept or decline any opportunity presented via the Platform.
4.4) PAs set their own hourly rate, which ilarna communicates to clients as part of a quotation, together with a separate ilarna platform and administration fee.
Please Note: ilarna is committed to promoting fair pay and transparent engagement between Clients and Personal Assistants. As part of this approach, ilarna encourages PAs to set rates of pay that reflect the skill, responsibility and value of the support they offer. At present, ilarna has communicated to clients that your PA support services start at a minimum hourly rate of £15. This does not limit your ability as a PA to set your own rate or to agree different arrangements directly with Clients.
4.5) You may use the Platform only for lawful purposes and in accordance with these Terms.
5. Service delivery obligations
5.1) You are solely responsible for the manner, means and outcome of the home support services you provide.
6. Fees and Payment
6.1) Clients may indicate the budget they have available for home support services. You are free to propose a rate of pay you consider appropriate, which the Client may accept or negotiate.
6.2) Fees payable to you will be agreed in advance of each Client engagement.
6.3) ilarna may facilitate secure payment collection and processing between Clients and PAs.
6.4) In facilitating payments, ilarna acts solely as a payment intermediary and does not set fees, determine remuneration, or assume responsibility for the home support services provided.
6.5) You authorise ilarna to:

Collect payments from Clients;
-
Deduct any agreed platform and/or administration fees; and
-
Remit the balance to you in accordance with the payment schedule communicated via the Platform.
6.6) You are responsible for all tax and reporting obligations arising from payments received.
7. Availability and Cancellations
7.1) You must keep your availability accurate and up to date on the Platform.
7.2) Repeated cancellations, late withdrawals or failure to attend Client engagements across multiple Clients may result in suspension or termination of your access to the Platform in accordance with Clause 3.6.
8. Equipment and Insurance
8.1) You are responsible for providing, at your own cost, any equipment, tools and materials (including PPE) that you choose or are required to use in the course of providing services to Clients introduced via the Platform, under your own status as a self-employed Personal Assistant, unless otherwise agreed directly with the Client.
8.2) As part of the Platform offering, ilarna makes available access to a group insurance arrangement for self-employed Personal Assistants, which may include public liability and professional indemnity (malpractice) cover. Any such insurance is made available for the benefit of PAs, does not alter your status as an independent contractor, and does not transfer responsibility for your acts or omissions to ilarna.
8.3) Any insurance made available via the Platform applies only in connection with services you provide independently to Clients introduced via the Platform, under your own self-employed arrangements. ilarna does not supervise, manage, or control the services you provide. ilarna does not handle or adjudicate insurance claims.
8.4) You remain responsible for maintaining, at your own cost, any other insurance required by law or which you consider necessary in connection with the services you offer, which may include (as applicable): (a) Appropriate motor insurance where using a vehicle for business purposes or transporting Clients.
8.5) You may be required to provide evidence of insurance to Clients, or to ilarna for the limited purpose of verifying eligibility to access the Platform.
9. Data protection and Confidentiality
9.1) You must comply with all applicable data protection laws, including the UK GDPR and Data Protection Act 2018.
9.2) You may access personal data only for the purpose of delivering the agreed home support services and must:

Keep personal data secure;
-
Not disclose data to unauthorised parties; and
-
Promptly notify ilarna of any personal data breach.
9.3) All information relating to Clients, ilarna operations or Platform data is confidential.
9.4) ilarna may collect, store and process personal data relating to PAs for the purposes of operating and administering the Platform, including identity verification, vetting and compliance checks, facilitating introductions to Clients, safeguarding, fraud prevention, communications, record-keeping, and compliance with legal or regulatory obligations.
9.5) ilarna may share PA personal data with Clients, service providers or authorities where required by law or where reasonably necessary for safeguarding, prevention of harm, or protection of ilarna’s legal rights, in accordance with applicable data protection laws.
9.6) Personal data will be retained only for as long as necessary for these purposes or as required by law.
9.7) Further details are set out in ilarna’s Privacy Notice, which forms part of these Terms.
10. Platform Availability and Changes
10.1) ilarna does not guarantee uninterrupted or error-free access to the Platform.
10.2) ilarna may modify, suspend or withdraw any part of the Platform at any time.
11. Suspension and Termination
11.1) iLarna may suspend or terminate your access to the Platform immediately where: (a) You breach these Terms; (b) Your use of the Platform poses a risk to Clients, ilarna or the Platform; or (c) suspension or termination is required by law or by a regulator.
11.2) You may stop using the Platform at any time.
12. Liability
12.1) You are responsible for your acts and omissions when providing services to Clients.
12.2) ilarna is not liable for:
-
The acts or omissions of PAs;
-
Disputes between PAs and Clients; or
-
Any indirect or consequential losses.
12.3) Nothing in these Terms limits liability for death or personal injury caused by negligence, fraud, or any liability that cannot be excluded by law.
13. Indemnity
13.1) You agree to indemnify ilarna against any claims, losses or liabilities arising from your breach of these Terms or from the services you provide.
14. Intellectual property
14.1) All intellectual property rights in the Platform belong to ilarna.
14.2) You are granted a limited, non-exclusive, non-transferable licence to use the Platform solely for its intended purpose.
15. Changes to these Terms
15.1) ilarna may update these Terms from time to time. Continued use of the Platform constitutes acceptance of the updated Terms.
16. Governing law and jurisdiction
16.1) These Terms are governed by the laws of England and Wales. The courts of England and Wales have exclusive jurisdiction.
